Welcome to Fieldbookly! These Terms of Service ("Terms") govern your access to and use of Fieldbookly's website, mobile applications, and services (collectively, the "Service"), operated by Dawn Labs Inc. ("we," "us," or "our"), a company registered in Canada. By creating an account or using our Service, you agree to be bound by these Terms.

1. About Fieldbookly

Fieldbookly is a product of Dawn Labs Inc. and is an online booking and business essentials platform built for service businesses such as plumbers, electricians, HVAC technicians, cleaners, landscapers, and other field service professionals. Our Service includes:

  • Online Booking: A customizable booking page that allows your customers to schedule appointments 24/7
  • Calendar Management: Smart scheduling with Google Calendar sync and drag-and-drop functionality
  • Automated Reminders: SMS and email notifications to reduce no-shows
  • Invoicing & Payments: Create invoices and accept online payments via Stripe
  • Quotes & Estimates: Generate professional quotes that customers can approve with one click
  • Customer Management: Store customer information, job history, and notes
  • Team Management: Assign jobs to team members and track schedules

2. Account Registration and Eligibility

To use Fieldbookly, you must:

  • Be at least 18 years old
  • Have the legal authority to enter into this agreement
  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account

You may not use Fieldbookly if you have previously been banned from our Service or if you are a competitor using our Service for competitive analysis.

3. Your Content and Data

Ownership: You retain ownership of all content you create, upload, or store in Fieldbookly, including but not limited to business information, service listings, pricing, customer data, booking records, invoices, and communications.

License to Fieldbookly: You grant us a limited, non-exclusive license to use, store, process, and display your content solely to provide and improve the Service. This license ends when you delete your content or account.

Your Responsibilities: You are solely responsible for your content and must ensure it does not violate any laws, infringe on third-party rights, or contain harmful, fraudulent, or misleading information.

4. Customer Data and Privacy Compliance

When you use Fieldbookly to collect and store your customers' information, you become a data controller responsible for:

  • Obtaining proper consent from customers before collecting their personal information
  • Informing customers how their data will be used
  • Complying with applicable privacy laws (GDPR, CCPA, etc.)
  • Responding to customer requests regarding their personal data
  • Ensuring your use of customer data is lawful and ethical

Fieldbookly acts as a data processor on your behalf and will process customer data only as instructed by you and as necessary to provide the Service.

5. Payment Processing

Fieldbookly partners with Stripe to provide payment processing services. By using our payment features:

  • You agree to Stripe's Terms of Service and Connected Account Agreement
  • You authorize Fieldbookly to share necessary information with Stripe
  • You are responsible for disputes, chargebacks, and refunds with your customers
  • Standard processing fees apply (2.9% + $0.30 per transaction for US cards)
  • Payouts are typically deposited within 2 business days

Fieldbookly is not responsible for any losses due to payment processing errors, fraud, or disputes between you and your customers.

6. Subscription Plans and Billing

Free Plan: Fieldbookly offers a free tier with up to 10 bookings per month. No credit card is required to start.

Paid Plans: Our paid plans start at $29/month and include unlimited bookings, advanced features, and priority support. Plans are billed monthly in advance.

Billing: By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access to paid features until then.

Refund Policy: We offer a 30-day money-back guarantee for new subscribers. After 30 days, we do not provide refunds for partial months or unused time.

Price Changes: We reserve the right to modify pricing with 30 days advance notice. Price changes will not affect your current billing period.

7. Acceptable Use Policy

You agree not to use Fieldbookly to:

  • Violate any applicable laws or regulations
  • Engage in fraudulent, deceptive, or misleading business practices
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Harass, abuse, or harm other users or their customers
  • Send spam or unsolicited communications
  • Scrape, crawl, or collect data from our Service without permission
  • Resell, sublicense, or provide access to our Service to third parties
  • Use our Service for any illegal services or businesses

8. Service Availability and Support

Uptime: We strive to maintain 99.9% uptime for our Service. However, we cannot guarantee uninterrupted access and may experience occasional downtime due to maintenance, updates, or unforeseen technical issues.

Maintenance: We may perform scheduled maintenance that temporarily affects service availability. We will provide advance notice when possible via email or in-app notifications.

Support: We provide customer support via email and chat. Response times vary based on your subscription plan and the nature of your inquiry.

9. Intellectual Property

Fieldbookly and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and content (excluding your content). You may not copy, modify, distribute, or reverse engineer any part of our Service.

We grant you a limited, non-exclusive, non-transferable license to use our Service for your business purposes in accordance with these Terms.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for any bookings, appointments, or business decisions made using our Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDBOOKLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO FIELDBOOKLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Fieldbookly, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Disputes between you and your customers

13. Account Suspension and Termination

By You: You may delete your account at any time through your account settings. Upon deletion, you will have 30 days to export your data before it is permanently removed.

By Fieldbookly: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, fail to pay subscription fees, or if we are required to do so by law.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We are not obligated to retain or provide access to your data after the 30-day export period.

14. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or through an in-app notification at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and cancel your account.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the ADR Institute of Canada's Arbitration Rules, with arbitration to take place in Toronto, Ontario.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Fieldbookly, to the extent permitted by applicable law.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fieldbookly.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
